1. Acceptance of terms
By accessing and using the website trevonza.com (hereinafter, 'the Platform'), operated by Trevonza S.R.L. (hereinafter, 'Trevonza', 'we', or 'the Company'), you agree to be bound by these Terms and Conditions. If you do not agree with any of these terms, please do not use the Platform. Continued use of the site after the publication of modifications constitutes acceptance of said changes.
2. Description of service
Trevonza operates a digital collaborative real estate investment (crowdlending) platform that allows multiple people to participate in real estate projects in the Dominican Republic. The Platform acts as an intermediary between real estate project developers and individuals interested in allocating capital to such developments. Trevonza does not guarantee returns or the preservation of invested capital.
3. Eligibility
To use the Platform's investment services, you must: be over eighteen (18) years of age; have legal capacity to enter into contracts in the Dominican Republic jurisdiction; provide truthful, complete, and up-to-date information during the registration process; comply with identity verification (KYC) and anti-money laundering requirements established by Dominican regulations.
4. User responsibility
As a user of the Platform, you are responsible for: maintaining the confidentiality of your access credentials; all activities carried out from your account; verifying project information before making any contribution; immediately notifying Trevonza of any unauthorized use of your account; complying with all applicable laws and regulations in your jurisdiction.
5. Investment risks
Investing in collaborative real estate projects carries significant risks that you should consider before participating: Capital loss risk: it is possible to lose all or part of your invested capital. Liquidity risk: participations are not liquid instruments and capital may be committed for the entire project horizon. Timeline risk: real estate projects may experience delays from estimated schedules. Market risk: real estate market conditions may vary, affecting asset values. Regulatory risk: changes in Dominican legislation may affect the operation of the Platform or projects. Past performance of any project does not constitute a guarantee of future results.
6. Fees and costs
Trevonza charges fees for its intermediation services, which are detailed in the information sheet of each project before your participation. Costs may include: management fee on managed funds, administrative and due diligence expenses, and operational costs associated with each project. All applicable costs will be transparently communicated before you make any contribution.
7. Intellectual property
All content on the Platform, including but not limited to texts, graphics, logos, icons, images, source code, databases, and design, is the property of Trevonza S.R.L. or its licensors and is protected by intellectual property laws of the Dominican Republic and applicable international treaties. No implied license is granted over Trevonza's intellectual property rights.
8. Limitation of liability
To the maximum extent permitted by Dominican law, Trevonza shall not be liable for: indirect, incidental, special, or consequential damages arising from the use of the Platform; investment losses resulting from decisions made by users; interruptions or errors in the operation of the Platform; actions or omissions of third parties, including project developers; or force majeure events or events beyond the reasonable control of the Company.
9. Governing law and jurisdiction
These Terms and Conditions are governed by the laws of the Dominican Republic. Any dispute arising from these terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of Santo Domingo, National District, Dominican Republic, without prejudice to alternative dispute resolution mechanisms that the parties may agree upon.
10. Dispute resolution
Before resorting to judicial proceedings, the parties commit to attempting to resolve any dispute amicably through direct negotiation for a period of thirty (30) business days. Failing to reach an agreement, the parties may opt for mediation or arbitration in accordance with the rules of the Alternative Dispute Resolution Center (CRC) of the Chamber of Commerce and Production of Santo Domingo.
11. Modifications
Trevonza reserves the right to modify these Terms and Conditions at any time. Modifications will take effect once published on the Platform. We will notify you of substantial changes via the email registered to your account. Continued use of the Platform after publication of changes constitutes acceptance of the new terms.
